What we hope to agree on October 7

  • Renewal. A new 24-month Default Operations Statement of Work under the existing MSA, with scope and fee schedule refreshed for the current environment.
  • Default advisory. UCLS to draft a Default Advisory SOW covering loss mitigation policy, default reporting and staff integration.
  • Technology working group. A PeoplesBank technology owner to scope the IDR–Nymbus integration with UCLS, and PeoplesBank's permission for UCLS to engage Nymbus.
  • Housekeeping. Countersignature of the Vendor Information Security Addendum and refreshed escalation contacts on both sides.

What UCLS will bring

  • Servicing volume through September 30, 2026, on the Two-Year Review tab.
  • Outline of the renewed Statement of Work and the proposed Default Advisory SOW, on the Renewal and Default Advisor tabs.
  • A walkthrough of IDR and Loan Ranger and the proposed Nymbus data feed, on the Nymbus + Technology tab.
  • Public context on PeoplesBank from FDIC call reports through June 30, 2026, on the PeoplesBank Today tab, so the discussion starts from shared numbers.
Same team · Same contract · Deeper bench

UCLS, Now Part of First Lien. Everything PeoplesBank Relies On Stays in Place.

Universal Component Lender Services joined the First Lien family of companies in 2026. UCLS remains UCLS: the same default servicing specialists, the same licensed debt collector, the same NMLS registration, the same contacts, the same contract. First Lien adds capital, technology and operating depth behind that team.

One platform, three capabilities

UCLS is a default servicing specialist and licensed debt collector, providing component and end-to-end default servicing to banks, credit unions, mortgage bankers and investors. First Lien Resolutions provides advisory, oversight and special-asset resolution. First Lien Capital acquires loans and provides liquidity to institutions. Together they form a vertically integrated platform for distressed and performing mortgage credit, with UCLS as PeoplesBank's contracted servicer and point of contact.

What changes for PeoplesBank

  • Technology. The Intelligent Default Resolution platform (IDR) with its Asset Bridge vendor portal, the Loan Ranger asset management platform and the Dr. SPOC single-point-of-contact agent come with First Lien, and First Lien manages the engineering of Nymbus connections to our technologies.
  • Bench depth. Erick Gonzalez (field execution and REO), James Dooley (capital markets and valuation) and Carlos DeJesus (asset management) sit behind the UCLS operating team.
  • Executive sponsorship. Bill Bymel is a named escalation contact on UCLS engagements and attends portfolio reviews.
  • Capital behind the servicer. First Lien Capital carries active equity commitments, so PeoplesBank has access to capital markets, liquidity, and a potential buyer for unresolved assets.

What stays exactly as it is

  • Steve Paton and the UCLS team. Steve continues as CEO. Janine Durham, Patrick Bowman, Zach Stallings and Scott Buffum continue to run PeoplesBank's file.
  • The contract. The MSA and SOW remain in force.
  • Licensing and compliance. UCLS's NMLS registration (#2269497), state debt-collection licenses, COBIT 5 / ISO 27001 / SOC-aligned audit program and the March 2026 Vendor Information Security Addendum all carry forward.
  • Pricing. The 2024 fee schedule holds through the current term. Any change arrives in the renewal SOW, on paper, for PeoplesBank's review.

What worked

UCLS entered a default operation with limited structure and left it with recorded, QA-reviewed calls, a compliant correspondence library, a loss mitigation waterfall, and a weekly reporting rhythm. PeoplesBank staff are now inside the process through call monitoring. The operation absorbed the June 2025 core conversion without a service interruption.

What we would do differently

Start with a richer daily extract and a documented loss mitigation policy on day one; both are on the proposed list for the renewal. Automate the repetitive tasks that today move through spreadsheets. Bring PeoplesBank's technology owner into the working group early so the Nymbus core becomes an asset for default operations rather than a system UCLS works around.

Senior leadership

  • Todd Tallman, Chief Executive Officer since the start of 2026, concurrently CEO of Cornerstone Bank, a sister institution under PeoplesBancorp, MHC.
  • Tom Senecal, Chairman of the Board; CEO from 2016 through 2025 and the executive who sponsored the Nymbus conversion.
  • Brian Canina, President of PeoplesBank and of PeoplesBancorp, MHC.
  • Aleda De Maria, EVP and Chief Operating Officer (previously EVP Consumer Banking and Operations; quoted on the Nymbus employer-banking launch).
  • Frank Crinella, EVP, Chief Banking Officer and Chief Credit Officer. Hayes Murray, EVP CFO. Amy Roberts, EVP CAO. Inez Friedman-Boyce, EVP Chief Legal Officer.
  • Amber Coughlin, SVP Consumer Lending, signatory on the UCLS MSA and SOW. Trisha Leary, VP Business Solutions Group, originated the contract documents.

Strategic context

  • Nymbus core, live June 22, 2025. PeoplesBank is the largest U.S. community bank fully operating on a modern cloud-native core, and a Series D investor in Nymbus (May 2023).
  • Connecticut expansion. Six Connecticut branches plus downtown Hartford, with New Britain and Bloomfield planned for 2027; roughly $1.5B of loans in Connecticut; PeoplesBank Arena naming rights ($20M, 10 years).
  • Holding-company consolidation. PeoplesBancorp, MHC (about $6.7B) is merging Athol Savings Bank into Cornerstone Bank under shared leadership; consistent default standards across affiliates become a natural question.
  • Earnings pressure. First-half 2026 net income is 24% below the first half of 2025 while the residential book grows; every basis point of loss severity and every avoided curtailment matters more.
  • Digital brands. ZYNLO and the employer-led banking and Union Workers Financial Services programs run on Nymbus and add consumer relationships outside the branch footprint.
Why this matters. The residential book is growing, credit costs are rising from a low base, and the bank has bet on being a technology leader. A default advisor that keeps the portfolio examiner-ready, protects investor claims, and plugs directly into the Nymbus core supports each of those priorities at once.
Master Services Agreement · Default Operations SOW · Vendor Information Security Addendum

Our Agreements and the Upcoming Renewal

The MSA self-renews. The SOW's term runs out in the coming months. We recommend executing a new Default Operations SOW for an additional 24 months, with refreshed scope and additional default services added as agreed upon.

InstrumentTerm and statusKey economics and termsRenewal action
Master Services Agreement
Executed Sept 18, 2024
Two-year initial term from execution, then automatic one-year renewals (Section 3.a). Now in its first renewal year. Either party may terminate for uncured material breach on 30 days' notice. Invoices due in 15 days; liability capped at 12 months' fees; mutual indemnity for willful misconduct; 90-day transition assistance; E&O and cyber insurance of $1M per occurrence / $2M aggregate; non-solicitation of employees; assignment to an affiliate or successor without consent (Section 8.d); Connecticut law, Delaware courts. Keep in force; refresh notice addresses and escalation contacts.
Default Operations SOW
24 months from first loans serviced
Effective September 9, 2024; term runs 24 months from the first date loans were serviced, expiring at the end of 2026. $6,500 monthly minimum. Per loan per month: $10 (15-day) to $45 (90+/120+), $45 loss mitigation, $60 foreclosure, $55 bankruptcy, $50 REO. Per-event fees for workouts and claims (schedule below). Third-party costs pass through. Execute SOW No. 2 (Default Operations, 2027–2028) with scope and fees updated for the Nymbus environment and current volumes.
Vendor Information Security Addendum
Rev. Feb 6, 2026
Signed by Steve Paton for UCLS on March 26, 2026; PeoplesBank countersignature to be confirmed. Massachusetts 201 CMR 17.00 and GLBA alignment, breach notification, subcontractor flow-down, NIST SP 800-88 data destruction, PeoplesBank right to terminate on breach without penalty. Countersign and attach to the MSA. Confirm UCLS's technology roadmap (IDR, Loan Ranger) against the addendum before integration work begins.
Default Advisory SOW
Proposed
New instrument under the existing MSA; 24 months to run with the operations SOW. Retainer-based scope: loss mitigation policy, default reporting redesign, staff integration and training, automation and extract enhancement, IDR–Nymbus integration. Draft for PeoplesBank review within two weeks of October 7.
Annual cost of the engagement

What Default Operations Cost PeoplesBank, and What They Would Cost In-House

UCLS covers six default functions for a growing residential book at a cost measured against the staff, systems and oversight PeoplesBank would otherwise carry. Defaults reflect the current SOW; the in-house figures are placeholders for PeoplesBank's own salary and overhead assumptions. Change any input and the comparison recalculates.

Inputs

Annual comparison

UCLS monthly cost (greater of minimum or fees, plus added services)$0
UCLS annual cost$0
In-house annual cost (staff plus systems and oversight)$0
Annual cost avoided by PeoplesBank$0
UCLS cost per delinquent loan per month$0
Latest 12-month engagement cost, for reference$121,116

Capacity that scales with the book

The residential portfolio has grown about $20M a quarter and delinquencies move with the cycle. UCLS absorbs volume without a hiring decision, a training cycle or a system purchase on PeoplesBank's side.

Six specialties, one relationship

Collections, loss mitigation, bankruptcy, foreclosure, property preservation and claims each carry their own rules, timelines and investor requirements. UCLS staffs all six with specialists and backup, a coverage no one or two hires can provide.

Examiner-ready by design

Recorded and reviewed calls, Mini-Miranda, investor-specific correspondence, timeline tracking and claim documentation are built into the workflow, so PeoplesBank's default file stands up to audit and examination without added internal effort.

What the renewal SOW should change

  • Servicing system definition. Replace the 2024 extract-and-spreadsheet language (SOW 1.4) with a defined Nymbus data feed to IDR and a two-way notes and task interface.
  • Scope additions. Property preservation vendor management; claims oversight including curtailment prevention; bankruptcy referrals under UCLS management.
  • Service levels. Written SLAs for contact attempts, borrower response package timing, inspection cadence and reporting delivery, with a monthly KPI review.
  • Volume bands. A fee schedule that steps down per loan as assigned volume rises, so growth in the residential book lowers PeoplesBank's unit cost.

What should stay

  • Responsibility split. PeoplesBank keeps payments, escrow, investor reporting and credit reporting (SOW 4.5); UCLS keeps everything from 15 days delinquent through claim.
  • Client control. PeoplesBank directs foreclosure referrals, may work directly with a chosen attorney, and receives every regulatory complaint within two business days.
  • Data ownership. PeoplesBank owns all client information; UCLS's de-identified analytics right (MSA 8.f) stays as written.
  • Confidentiality and security. MSA Section 2 and the 2026 addendum govern every new system connection.
How much more UCLS can take on

UCLS as PeoplesBank's Default Advisor

The current SOW makes UCLS the operator of six default functions for delinquent residential loans. The proposal is a standing advisory role across policy, reporting, legal oversight, technology and adjacent portfolios, with UCLS accountable for the whole default lifecycle and PeoplesBank staff integrated into it.

Proposed areas of emphasis and cooperation

Enhancement of the existing daily extract file. Automation of repetitive tasks. Attorney engagement and monitoring. Integration of PeoplesBank staff into appropriate tasks, beginning with the call monitoring already under way. A comprehensive, documented loss mitigation policy. A review of the default reporting process with recommended changes. Integration of IDR with Nymbus. A new Statement of Work reflecting the current environment and needs.

Capacity

The UCLS default team runs component and end-to-end engagements for banks, credit unions and mortgage bankers and can absorb several times PeoplesBank's current assignment volume without a change in team or SLA. First Lien Resolutions adds field, legal and REO capacity in all fifty states.

Independence

UCLS never originates and First Lien never buys loans it advises on without PeoplesBank's written direction. Advisory and liquidity are separate conversations, with PeoplesBank in control of both.

Examiner posture

Every workstream produces the documentation an examiner expects: recorded calls, timeline logs, policy, attorney fee audits, and loan-level reporting, delivered through systems PeoplesBank can inspect.

Nymbus deep dive · UCLS technology · Integration roadmap

Technology That Cements the Relationship

PeoplesBank made an early, public bet on a modern core. UCLS intends to be the default servicing layer that makes that bet pay off: IDR integrated with Nymbus, asset management and reporting through Loan Ranger, and every connection built to the governance PeoplesBank's security addendum requires.

2015
Nymbus Founded

Apr 2026
Nymbus MCP Server
Secure Model Context Protocol server for core banking: 19 governed tools for AI-assisted workflows.

What Nymbus is

  • Nymbus Core. API-first, cloud-native core banking for deposits, lending and account processing.
  • Nymbus Connect. Data platform for integrations and real-time institutional visibility; the natural feed for IDR and Loan Ranger.
  • Nymbus Digital Banking and Onboard. Web and mobile banking and digital account opening for consumers and businesses.
  • Nymbus Launch and Labs. Niche digital-brand programs, the model behind ZYNLO and the employer-led and union-worker banking products.
  • Nymbus MCP Server (April 9, 2026). Token authentication, role-based access, per-tool activation, human-in-the-loop checkpoints, PII masking in logs, full audit trail. Built for exactly the kind of governed automation a default operation needs.

PeoplesBank and Nymbus, a five-year relationship

  • 2020. ZYNLO, PeoplesBank's digital-only brand, launches on Nymbus and grows past $150M in deposits.
  • October 2021. Expanded partnership for a core platform upgrade to Nymbus's API-first core.
  • May 2023. PeoplesBank invests in Nymbus's Series D.
  • October 2024. Employer-led banking and Union Workers Financial Services launch with Nymbus.
  • June 22, 2025. Full core cut-over, completed 24 hours ahead of schedule; 19,000+ customers enrolled on day one.
  • September 10, 2025. Announced as the largest U.S. community bank fully operating on a modern cloud-native core.
The gap is the opportunity. Nymbus's public product materials describe no native default, collections or loss mitigation module, and its public announcements name no default-servicing partner. With PeoplesBank's permission, UCLS would approach Nymbus to certify the IDR integration against Nymbus Connect and the MCP server, making PeoplesBank the reference site for default operations on a modern core.

Loan Ranger™

client.firstliencapital.com

First Lien's full asset management platform. Loan Ranger communicates with accounting systems, servicer data, and secure document and asset data storage, and holds the loan-level record from boarding through resolution.

Its dashboards deliver portfolio status, roll rates, loss mitigation pipeline, exceptions and executive reporting for management, board and examiners. The proposed home for PeoplesBank's redesigned default reporting.

Q1 2027

Two-way notes and tasks

Nymbus Connect or API feed for near-real-time delinquency status; UCLS call notes, loss mitigation status and attorney milestones written back to the Nymbus servicing record.

Q2 2027

Loan Ranger on Nymbus data

Loan-level asset records, accounting reconciliation and document storage synchronized with the core; redesigned default reporting for management, investors and examiners; PeoplesBank staff dashboards and QC views.

H2 2027

Governed agent workflows

Dr. SPOC recommendations and IDR workflows execute through the Nymbus MCP server with per-tool permissions, human approval checkpoints and full audit logging: payment-plan setup, correspondence triggers, inspection ordering.

A joint path with Nymbus, with PeoplesBank's permission

  • Introduction. UCLS has not approached Nymbus. UCLS requests PeoplesBank's permission, and an introduction, to engage Nymbus on the IDR integration.
  • Reference site. PeoplesBank as the case study for default operations on a modern core, co-published with Nymbus.
  • Partner listing. UCLS in the Nymbus partner ecosystem as the default servicing and collections option for community banks and credit unions moving off legacy cores.
  • Shared roadmap. A standing quarterly session among PeoplesBank, Nymbus and UCLS on default data, MCP tools and reporting.
  • Affiliate rollout. Cornerstone Bank and Athol Savings Bank as natural second sites under PeoplesBancorp, MHC.

Security and governance by design

  • Addendum-first. Every connection is designed against the March 2026 Vendor Information Security Addendum: 201 CMR 17.00, GLBA, breach notification within 24 hours, subcontractor flow-down.
  • Named accounts and MFA. No shared logins; least-privilege roles scoped to the PeoplesBank portfolio; quarterly access recertification.
  • NPI stays in place. Loan data lives in Nymbus and IDR's encrypted, access-controlled environment; no NPI in chat or email.
  • Human in the loop. Dr. SPOC advises; people decide and approve. Nymbus's MCP governance model and UCLS's supervision policy align on this point.

Questions for discussion

  • How is default performance reported to the board and to examiners today, and who consumes it?
  • What did the Nymbus conversion change in servicing and collections workflows, and what remains manual?
  • Which functions does PeoplesBank want to keep in-house, and where does it want UCLS accountable end to end?
  • Is there appetite to extend default standards to Cornerstone Bank and Athol Savings Bank?
  • Who at PeoplesBank owns the Nymbus relationship and the data-integration decisions?
  • Will PeoplesBank authorize UCLS to engage Nymbus on the IDR integration, and should that run through PeoplesBank, directly, or both?
